Article 1 - OBJECT
The present general terms of sale have for object to determine the conditions in which Facteur C sells the accessories in crocheted recycled plastic bag of the brand Facteur Céleste, below called « Products », for a physical or moral person, below called « the Buyer ».
It is recommended to the Buyer to keep and/or print the present conditions.
Article 2 - MINIMUM OF ORDER
A - FOR THE BUYING OF REFERENCES FROM OUR CATALOGUE
The minimum of order by reference is 5 units and the mninimum of order of all references is 250 € VAT excluded.
B - FOR A CUSTOMISED ORDER
The minimum of order by reference is 100 units for a tailor-made order. The buyer should provide Facteur C with specifications and drawings with all the technical caracteristics required for the good realisation of the prototype. The order can be produced only when those specifications are approved by both parts.
Article 3 - PROCESS OF THE ORDER, DELAYS AND PAYING TERMS
The Buyer consults all the characteristics of the Product and places the order with the sales department by e-mail or by telephone. The various stages of the order are the following ones:
• The Buyer chooses the quantity of Products and the assortment of colors wanted and sends a written order to Facteur C
• Facteur C acknowledges receipt of the order by indicating to the Buyer that it was correctly taken into account, subject to availability of the Product
• Facteur C sends a pro-forma invoice to the buyer, including the expedition fees calculated according to the weight of the parcel, the way and address of shipping
• The buyer pays an advance payment of 40% of the invoice at the confirmation of the order
• The buyer pays the rest of the invoice when the parcel is ready, before its delivery
• The parcel is delivered as soon as the payment is received, against signature
• The parcel is delivered as soon as the payment is received and handed over to the Buyer against signature
CONDITIONS APPLICABLE TO THE PROFESSIONAL SECTOR LAST UPDATE : OCTOBER 2012
• An invoice recapitulating these amounts is sent to the Buyer once the delivery is made.
The seller remains the owner of the goods up to the complete payment of the price by the buyer. This right concerns as well the goods as their price, in case that the goods were already resold.
The check must be denominated in the order of «SAS Facteur C» and sent by mail to the following address:

The bank account information will be sent to the buyer in case of a wire transfer.
The order implies the whole support and without reserve of the Buyer in the present General terms of sale.
Article 4 - SHEEPING - DELIVERY
Before validation of the order, the buyer sends an estimate personalized on the amount of the shipment charges of his order, which is function of the weight of the parcel and the address of shipping. These shipment charges include the expenses of preparation and packaging.
The seller makes a commitment to make all the customs and logistic formalities necessary for the routing of the goods. The buyer chooses the mode of transport of his choice. Failing that, the seller determines it.
Then, from reception of the payment, Facteur C proceeds to the delivery at the address indicated by the Buyer. The Buyer will be charged carriage forward for a delivery everywhere in France and on the international stage.
The reception of the ordered Product(s) is materialized by the signature, by the Buyer, of the acknowledgement of receipt presented to the Buyer by the transporter at the delivery.
It is up to the Buyer to make any possible complaint concerning the nature of the Product or any damage undergone by the Product during the transport, at the time of its delivery or to refuse the delivery, and to confirm this complaint by registered letter with recorded delivery sent in the 7 days following the delivery of the Product to:

The delivery deadlines vary as the ordered products are referenced in the catalog and are in stock or as the ordered products are referenced in the catalog and are the object of a new production. According to these two scenarios, the deadlines are at least of 10 days and at most of 2 and a half months.
According to the needs of the buyer, the seller can partition the sending of an order according to the stock status.
If it is about a custom-made order, the delivery deadlines of the order are subject to a bilateral agreement between both parts.
Article 5 - RESPONSIBILITY
Facteur C is not responsible during the use of the product for:
• a fact, of the Buyer himself
• a fact, unpredictable and insuperable, of a third party
• a case of force majeure such as defined by the Jurisprudence
Article 6 - REVOCATION RIGHTS
In accordance with the clauses of the articles L. 121-20 and L. 121-20-2 of the french Consumer Code, the Buyer benefits from a deadline of 7 clear days as from the reception of the Product to ask for exchange or refund without penalties, with the exception of the fees of return.
The Product must be sent back to Facteur C to the adress shown above (delivery fees chargeable to the buyer) in its original packing, in perfect condition, accompanied with its documentation.
The refund of the Product after return is made as soon as possible and at the latest 30 days following the delivery.
Article 7 - PRICE
The prices indicated are in euros and before tax (for France and the European Union only, for the rest of the world it it is duty free) and before postage and handling charges. The postage charges are communicated if necessary by the sales department.
Article 8 - APPLICABLE LAW
The parties agree that the applicable law to the present General terms of sales and conditions is the French law.
Article 9 - LEGAL ARGUMENT
Only the commercial court of Paris will be competent in case of legal argument.
